Bank Asya’s Ordinary General Meeting of the Shareholders was held in March 31, 2012 at 11.00, in the address at Saray Mahallesi Dr. Adnan Büyükdeniz Caddesi No:10 Ümraniye / ISTANBUL and the resolutions of the AGM are listed at below.

1. Annual Report of the Board of Directors for the year of 2011 was read by Member of Board of Directors and General Manager Mr. Abdullah ÇELİK. Report of the Auditing Board was read by company auditor Mr. İrfan HACIOSMANOĞLU. Report of Independent Auditing Firm was read by Mr. ATİF BİLGİN. It was opened for the negotiation.

2. Balance Sheet, Profit and Loss Statements for the year of 2011 were read by Mr. İRFAN HACIOSMANOĞLU. They were opened for the negotiation. As a result of performed voting, Balance Sheet, Profit and Loss Statements were confirmed by the majority of votes.

Mr. Ercüment GÜLER read the proposal of Board of Directors in relation to that after 10.804.816,67 TL legal reserve fund which should be set aside in accordance with law and our Articles of Association, set aside from the net profit in the amount of 216.096.333,38 TL which accrues according to our balance sheet dated 31.12.2011; 3.805.418,26 TL, which is 75 % of the profit in the amount of 5.073.891,01 TL arising from sales of our real estate which is used as old operation center of our Bank located at Altunizade Üsküdar/Istanbul, is taken into the special fund account in accordance with Article 5-1/e of Corporate Tax Law No. 5520; balance profit in the amount of 201.486.098,45 TL is not distributed for the purpose of strengthening shareholders’ equity, and ensuring the continuation of organic growth of our Bank and it is set aside as extraordinary reserve fund. Board of Directors’ proposal for not distributing the profit was put to the vote. As a result of performed voting, it was resolved by majority of votes not to distribute the company profit.

3. A demonstration was given about Mr. Ali ÇELİK, Mr. Faruk İLK, Mr. Mustafa Talat KATIRCIOĞLU, Mr. Ercüment GÜLER and Mr. Mehmet URUÇ, who were appointed as for memberships of the board of directors, discharged due to resignation of Mr. Salih SARIGÜL, Mr. Ahmet ÇELİK, Mr. Tacettin NEGİŞ, Mr. İsmail Erol İŞBİLEN and Mr. Hülagü ÖZCAN. It was approved with the majority of votes, to appoint Mr. Ali ÇELİK, Mr. Faruk İLK, Mr. Mustafa Talat KATIRCIOĞLU, Mr. Ercüment GÜLER and Mr. Mehmet URUÇ as member of board of directors and to serve until the end of same period.

4. As a result of performed voting, members of Board of Directors were acquitted by majority of votes. As a result of performed voting again, Auditors were acquitted by majority of votes.

5. Amendment of Article 32 titled as “Formation of Board of Directors” in the Company’s Articles of Association was negotiated, amendment contract in relation to aforementioned amendment which was approved by Ministry of Customs and Trade, Directorate General of Domestic Trade in 06.03.2012 and with number: 1659, was accepted with its form as approved by the Ministry, by majority of votes.

6. Mr. Behçet AKYAR, Mr. Mustafa Talat KATIRCIOĞLU, Mr. Ali ÇELİK, Mr. Faruk İLK, Mr. Ercüment GÜLER, Mr. Mehmet URUÇ, Mr. Mehmet GÖZÜTOK, Mr. Recep KOÇAK and Mr. Abdullah ÇELİK were selected as Members of Board of Directors in order to serve for three years period.

Mr. Atif BİLGİN, Mr. İrfan HACIOSMANOĞLU and Erhan BİRGİLİ were selected as Members of Auditing Board by majority of votes in order to serve for three years period.

7. As a result of performed voting, it was accepted by majority of votes to pay gross fee monthly in the amount of 5.000 TL to Members of Board of Directors and to pay gross fee monthly in the amount of 5.000 TL to the Auditors.

8. It was resolved by majority of votes to authorize Board of Directors about selection of members of High Advisory Board and determination of their fees.

9. DRT Bağımsız Denetim ve Serbest Muhasebeci Mali Müşavirlik A.Ş. (Deloitte), which was selected for independent auditing for fiscal period of 2012, by Board of Directors for 1 (one) year, was approved by majority of votes.

10. Information was given about assistances and donations, made within the year of 2011.

11. General Assembly was informed about the amendments in the Information Policy principles within the scope of Asya Katılım Bankası A.Ş. Corporate Governance Principles.

12. It was resolved by majority of votes to give permission required by Turkish Trade Law, Articles no: 334 and 335, to members of Board of Directors.

Bank Asya has decided to apply to CMBT (Capital Markets Board of Turkey), BRSA (Banking Regulation and Supervision Agency) and MSIT (Ministry of Science, Industry and Technology) for revision of Article 32 “Formation of the Board of Directors” in the corporate constitution and submit it to the first ordinary general assembly for approval.

With the draft amendment, member of the board of directors will increase seven to nine and also “deputy chairman” statement has changed to “vice chairman” within the article.

The Board of Directors shall consist of seven members to be elected by the General Meeting among the candidates, who are necessarily shareholders, nominated by the minimum 51% of the total votes of the Group (A) shareholders present at that meeting. General Manager, and in his absence Assistant General Manager are natural members of the Board of Directors. Members of the Board of Directors shall have the conditions and qualifications required by the Banking Law. The Board of Directors elects a chairman and a deputy chairman among its members. The General Assembly approved a proposal that after the bank allocate a portion of 2010 profit as mandated by law and the company's articles of association, the remaining 2010 profit was deposited as extraordinary reserves instead of being distributed as a dividend payment.

In the amount of TRY 5.000.000 “Bizim Menkul Degerler A.S. (BMD Securities Inc.) Type B Special Eco Fund” which is owned by Bizim Menkul Degerler A.S. (BMD Securities Inc.), after the internal regulations it has taken over by Bank Asya and named as “Bank Asya Type B GES (Income Index) Variable Fund”.

Bizim Menkul Değerler A.S. (BMD Securities Inc.) will execute managing these funds.

Tamweel Africa Holding SA is owned by “The Islamic Corporation for the Development of Private Sector (ICD)” which is subsidiary of Islamic Development Bank (IDB). The holding's assets include:

66% stake in the Islamic Bank of Niger (IBN)
77.50% in the Islamic Bank of Senegal (IBS)
100% stake in the Islamic Bank of Guinea (IBG).

Tamweel Africa Holding SA has also begun plans to acquire 100% stake of the Islamic Bank of Moritania (IBM).

As of the beginning, Bank Asya plans to become a partner of Tamweel Africa Holding SA with a participation of US$15mn.

Bank Asya’s Ordinary AGM (Annual General Assembly) was held on Saturday, March 21st, 2009 at corporate Office located in Kucuksu Cad. Akcakoca Sok. No:6 Umraniye/ Istanbul. The General Assembly approved a proposal that remaining 2008 profit be deposited as extraordinary reserves, instead of being distributed as a dividend payment. Bank Asya increases its capital from TRY300mn to TRY900mn. TRY300mn portion of the capital increase will be funded by a rights issue, while the remaining TRY300mn will be funded by corporate reserves and be distributed to existing shareholders in the form of a bonus issue. Existing shareholders may exercise up to 100% in coupon rights equal to the amount of shares held for a 15 day period between June 6-23, where the coupon right value of each TRY1 nominally valued share is TRY1.

Bank Asya has decided to participate in the TRY20mn capital increase of 65.42% insurance subsidiary Isik Sigorta. Bank Asya will fund TRY9.16mn of the capital increase by December 31st, 2008.

Following the action, Isik Sigorta will have increased its capital from TRY40mn to TRY60mn.

Bank Asya has announced that the company's General Assembly, which was held on May 17, 2008 at corporate headquarters located in Umraniye, Istanbul, has approved a TRY600M capital increase that will raise capital from TRY300M to TRY900M (article 8). In addition, the General Assembly also approved a proposal that remaining 2007 profit be deposited as extraordinary reserves, instead of being distributed as a dividend payment. The Bank's General Assembly has also approved the restructuring of amendment made to article 6 "Head Office and Branches" of the Bank Asya's corporate constitution. The Group A Preferred Shareholders meeting was held at 14:00 on the same day also at the corporate headquarters building.

The agenda, which had previously included an amendment to article 32 of the Board of Directors agreement and article 49 of the Auditing Committee agreement, were not discussed as approval could not be obtained. The General Assembly meeting notes will be published in the Daily Bulletin.

Moody's Investors Service has assigned B1/Not-Prime long-term and short-term foreigncurrency deposit ratings and a D bank financial strength rating (BFSR) to Bank Asya. The BFSR translates into a Baseline Credit Assessment of Ba2.
At the same time, Moody's has assigned Global Local Currency (GLC) deposit ratings of Ba1/NP to the bank, as well as A1.tr long-term and TR-1 short-term Turkish National Scale Ratings. All ratings carry a stable outlook.

Bank Asya has secured a 2-part US$175mn syndication loan from a consortium of 40 international banks led by Unicredit Markets & Investment Banking (through Bayerische Hypo and Vereinsbank AG), Standard Chartered Bank and ABC Islamic Bank.

Bank Asya has secured a 1-year US$89mn loan subject to an interest rate of Libor+0.65% and a 2-year US$86mn loan subject to an interest rate of Libor+0.85%. The syndication loan agreement was signed on Thursday, April 12th in Istanbul.

Bank Asya 99% participation Asyafin Insaat has decided to sell shares in Asyafin Turizm in order to strengthen Asyafin Insaat's financial structure. Mercek Bagimsiz Denetim ve Yeminli Mali Musavirlik A.S. has appraised Asyafin Turizm to be valued at 42,026,881 YTL which translates to a price of 3,502.24 YTL per share.

Bank Asya 99.9% participation Asyafin Insaat Sanayi Dis Ticaret ve Pazarlama A.S. has decided to increase company capital from 25 million YTL to 40 million YTL. As per the resolution of the Board of Directors of Bank Asya dated 29.06.2006; the 15 million YTL capital increase will be funded by a full coupon rights issue in which Bank Asya will exercise all 14,985,000 YTL in coupon rights.
